The government is planning to sell around 10% stake in Punjab & Sind Bank. The Government plans to sell an 8-10% stake in Punjab & Sind Bank through a qualified institutional placement (QIP) to raise about ₹1,500 crore in FY27, said managing director and chief executive officer Swarup Kumar Saha. The government is separately working on an offer for sale (OFS) and will decide on its timing depending on market conditions.
What is QIP?
QIP stands for Qualified Institutional Placement.
It is a method through which a listed company raises fresh capital by issuing new shares to Qualified Institutional Buyers (QIBs).
Example:
Suppose Punjab & Sind Bank wants to raise ₹1,500 crore.
- The bank issues new shares.
- These shares are offered to institutional investors such as mutual funds, insurance companies and banks.
- These investors purchase the shares.
- The bank receives ₹1,500 crore.
Purpose: To raise fresh capital for the bank.
What is OFS?
OFS stands for Offer for Sale.
It is a mechanism through which existing shareholders sell their shares through the stock exchange.
Example:
Suppose the Government of India owns 90% of Punjab & Sind Bank and wants to reduce its shareholding.
- The government offers some of its existing shares for sale.
- Investors purchase these shares through the stock exchange.
- The government receives the money.
- The bank does not receive any money from this transaction.
Purpose: To reduce the shareholding of existing shareholders, including the government.
Difference Between QIP and OFS
| Basis | QIP | OFS |
|---|---|---|
| Full Form | Qualified Institutional Placement | Offer for Sale |
| Meaning | Issue of fresh shares | Sale of existing shares |
| Shares issued by | Company | Existing shareholder |
| Money received by | Company | Selling shareholder |
| New shares created? | Yes | No |
| Main purpose | Raise fresh capital | Reduce shareholding |
| Eligible investors | Qualified Institutional Buyers | Retail and institutional investors |
Understanding Punjab & Sind Bank’s case
The government is considering two separate transactions:
- QIP: Punjab & Sind Bank may issue fresh shares to institutional investors to raise approximately ₹1,500 crore.
- OFS: The Government of India may sell some of its existing shares in the bank, depending on market conditions.
Important for banking examinations:
- QIP = Raising fresh capital by issuing shares to institutional investors.
- OFS = Selling existing shares through the stock exchange.
- QIB = Qualified Institutional Buyer.
- QIP proceeds go to the company, whereas OFS proceeds go to the selling shareholder.
