The Federal Reserve Board has approved an application by Canada’s Bank of Nova Scotia to acquire Maple Financial Holdings, Inc., a bank holding company based in Dallas, Texas. The approval will allow the Canadian banking group to indirectly acquire MapleMark Bank, which is based in Tulsa, Oklahoma, and expand its banking operations in the United States. The announcement was made on October 29, 2026.
In India also, a Canadian financial company, Fairfax Financial Holdings, is set to acquire a 60.72% stake in IDBI Bank. The proposed deal involves the Government of India selling its 30.48% stake and Life Insurance Corporation of India (LIC) selling its 30.24% stake to Fairfax. The transaction is valued at approximately ₹52,878 crore, making it one of the major foreign investments in India’s banking sector. Once completed, Fairfax will become the majority shareholder of IDBI Bank, while the Government of India and LIC will together retain a 34% stake in the bank.
Details of the Acquisition
The Bank of Nova Scotia, also known as Scotiabank, is one of Canada’s largest banking organisations, with consolidated assets of approximately $1.1 trillion as of June 30, 2026. Maple Financial Holdings had approximately $1 billion in consolidated assets and controlled MapleMark Bank, which provides deposit, lending and other financial services.
Under the proposed transaction, Scotiabank will acquire Maple Financial Holdings and thereby indirectly acquire MapleMark Bank. The transaction involves a Scotiabank subsidiary merging with Maple Financial Holdings, with Maple Financial continuing as the surviving entity. The proposal also includes converting MapleMark Bank from an Oklahoma state member bank into a Texas state member bank, with its main office in Dallas.
