Federal Bank in Advanced Talks for Strategic Share-Swap Acquisition of Jana SFB
Federal Bank is in advanced talks to acquire a controlling stake or execute a full asset-and-liability share-swap deal with Jana Small Finance Bank.
Federal Bank is in advanced negotiations to execute a full acquisition of the assets and liabilities of Jana Small Finance Bank (Jana SFB) through a strategic share-swap arrangement. The deal, valued between ₹6,000 crore and ₹6,500 crore, marks a major consolidation move in India’s private banking sector.
Under the proposed structure, Jana SFB’s promoter group, Jana Holdings, is expected to completely offload its remaining 16.9% controlling stake.
Jana Holdings has been under building pressure to monetise its stake to honor a ₹700 crore debt obligation to backer TPG Asia, which carries a final rolled-over deadline of December 31, 2026.
Once the transaction concludes and the promoter stake drops below 9.99%, Jana Holdings will officially seek reclassification to the public shareholder category.
The transaction is anticipated to be closed at a 15% to 20% premium over Jana SFB’s current market price.
Moving away from a pure cash buyout, the entities are structuring this as an all-stock share-swap deal, mirroring historical sector consolidations such as the AU Small Finance Bank buyout of Fincare SFB.
