Mahindra & Mahindra to Acquire Majority Stake in SML Isuzu for Rs.555 Crore to Strengthen Commercial Vehicle Presence

Mahindra & Mahindra (M&M) has made a significant move to enhance its position in the commercial vehicle market. The company has agreed to acquire a 58.96% majority stake in SML Isuzu for ₹555 crore. Details of the Acquisition
The acquisition will involve M&M purchasing shares from two key stakeholders in SML Isuzu. M&M will acquire 63.62 lakh shares (43.96% of SML’s total shareholding) from Sumitomo Corporation for ₹413.55 crore. In addition, M&M will buy 21.70 lakh shares (15% of SML’s equity) from Isuzu Motors Ltd for ₹141.10 crore. Both transactions are priced at ₹650 per share.
As part of the deal, M&M will also launch a mandatory open offer to acquire up to 26% of SML Isuzu’s shares from eligible public shareholders. The open offer price is set at ₹1,554 per share, which is 13% lower than the closing price of SML Isuzu shares on the preceding Friday.

M&M’s primary goal with this acquisition is to strengthen its position in the commercial vehicle sector, particularly in the >3.5 tonne (T) vehicle segment.
